These Terms of Service ("Terms") govern your access to and use of the OmeBio, Inc. ("OmeBio," "we," "us," or "our") website, online store, and related services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
Our products are available exclusively to licensed healthcare professionals and qualified researchers. By applying for access or creating an account, you represent that you hold a valid professional license or research affiliation authorizing you to purchase and use the products we offer.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.
All products sold by OmeBio are intended for research purposes only and are not approved by the U.S. Food and Drug Administration for any specific therapeutic use. You acknowledge that OmeBio makes no claims regarding the safety or efficacy of its products for any particular purpose.
You agree to use OmeBio products in compliance with all applicable federal, state, and local laws and regulations, including those governing the compounding, dispensing, and administration of pharmaceutical products.
All orders placed through our store are subject to acceptance and product availability. We reserve the right to refuse or cancel any order at our discretion, including orders that appear to contain errors, are placed by unverified accounts, or violate these Terms.
Prices are listed in U.S. dollars and are subject to change without notice. Payment is due at the time of purchase. We accept the payment methods listed on our store at checkout.
We ship to addresses within the United States. Shipping timelines are estimates and not guarantees. OmeBio is not responsible for delays caused by carriers, weather, customs, or other events outside our control. Risk of loss passes to you upon delivery to the carrier.
Certain products may require cold chain shipping. These products are shipped with appropriate packaging and temperature controls. Please inspect all deliveries upon receipt and contact us promptly if there are any issues.
Due to the nature of our products, we generally do not accept returns. If you receive a damaged, defective, or incorrect product, contact us within 48 hours of delivery. We will evaluate the issue and, at our discretion, provide a replacement or refund. Products that have been opened, used, or improperly stored are not eligible for return.
By subscribing to our newsletter or opting in to marketing communications, you consent to receive emails about products, research updates, and company news. You may unsubscribe at any time. Opting out of marketing communications does not affect transactional emails related to your orders or account.
All content on our website, including text, graphics, logos, images, and software, is the property of OmeBio or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.
OmeBio may provide access to outcome tracking software at no charge to qualifying practitioners. Use of this software is subject to any additional terms provided at the time of access. Data you enter into the software remains yours. By using the software, you grant OmeBio a non-exclusive, royalty-free license to use anonymized, aggregated data for research and product improvement purposes.
Our website, store, and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, OmeBio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services or products. Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.
You agree to indemnify and hold harmless OmeBio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.
These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in St. Louis County, Missouri.
We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
